Terms of Service

1. Agreement to Terms

By accessing or using the Blank Slate Media website located at https://blankslatemedia.la (the "Website") and subscribing to our content creation services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Website or Services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Blank Slate Media ("Company," "we," "us," or "our"). The terms "Party" and "Parties" refer to both you and us, or either you or us individually.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements. If you are using our Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Description of Services

Blank Slate Media provides AI-powered digital content creation services for local businesses, including but not limited to social media content, photography, videography, graphic design, and content strategy. Our Services are offered through tiered subscription plans with varying features and benefits.

4. Free Trial Period

New customers may be eligible for a 14-day free trial of our Starter plan. During the trial period, you will have access to limited features and content creation services. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription at the standard monthly rate, and your payment method will be charged.

5. Billing and Payment

All subscription plans are billed monthly in advance on a recurring basis. By subscribing to our Services, you authorize us to charge your designated payment method on a monthly basis until you cancel your subscription. Subscription fees are non-refundable except as expressly provided in these Terms.

We use Stripe as our third-party payment processor. By providing payment information, you agree to Stripe's terms of service and privacy policy. We do not store your full credit card information on our servers.

6. Cancellation and Refunds

You may cancel your subscription at any time through your account dashboard or by contacting our support team. Cancellations take effect at the end of your current billing cycle, and you will retain access to the Services until that date. No refunds will be provided for the remaining portion of your current billing cycle.

We offer refunds only in limited circumstances, such as failure to deliver services within 30 days of the agreed-upon delivery date, technical issues preventing access for more than 7 consecutive days, or termination of your account by us without cause.

7. Content Ownership and Usage Rights

You retain all ownership rights to any content, materials, or information that you provide to us. All content created by Blank Slate Media as part of the Services is owned by you upon full payment of all fees owed. We retain the right to use the content we create for you in our portfolio and marketing materials unless you explicitly request otherwise in writing.

8. In-Person Shoot Days

Professional and Premium subscription plans include a monthly allocation of in-person shoot days. Shoot days must be scheduled at least 48 hours in advance and are subject to availability. Unused shoot days do not roll over to subsequent months. Cancellations or rescheduling requests made with less than 24 hours' notice will result in forfeiture of that shoot day.

9. Referral Program

Our referral program allows existing customers to earn one free month of service by referring new customers who complete a paid subscription. Referral rewards are subject to terms and conditions, including that the referred customer must be new and complete at least one full month of paid subscription.

10. Prohibited Uses

You agree not to use the Services for any unlawful purpose or in any way that violates these Terms. Prohibited uses include violating applicable laws, infringing on intellectual property rights, transmitting offensive content, engaging in fraudulent activity, or interfering with the Services.

11. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, Blank Slate Media disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, Blank Slate Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. In no event shall Blank Slate Media's total liability to you for all claims exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the liability.

13. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising out of or related to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association in Los Angeles, California.

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action. You waive any right to participate in a class action lawsuit against Blank Slate Media.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email and/or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes your acceptance of the changes.
